Terms & Conditions

These terms govern your access to the Beztec website and your use of our software platforms, consultancy services and self-hosted licences.

About these terms

Welcome to Beztec. By accessing our website or using our services, you agree to be bound by these terms. If you do not agree with them, please do not use our website or services.

Throughout these terms, the following definitions apply:

"Beztec", "we", "us"
Beztec Ltd (company number 12037299), a company registered in England and Wales, trading from Leeds, United Kingdom.
"Services"
The Beztec website, our proprietary software platforms (Qfinity, Dash and WHAAM), consultancy engagements, self-hosted software licences, cloud-hosted SaaS subscriptions, and any related deliverables.
"Platforms"
Qfinity, Dash and WHAAM, individually or collectively.
"Self-hosted"
Software we license to you that is deployed onto infrastructure you own or control.
"SaaS"
Software we host and make available to you over the internet as a subscription service.
"You", "your"
The individual or organisation accessing the Services, whether as a client, prospective client, or visitor to our website.

1. Services

Beztec provides custom web software development, data protection and compliance consultancy, and access to our proprietary software platforms:

  • Qfinity — a quantitative forex trading platform with a WYSIWYG strategy builder and native MetaTrader 5 (MT5) integration.
  • Dash — a logistics management platform available as a self-hosted licence or as a cloud-hosted SaaS subscription.
  • WHAAM — a mobile-first retail super app connecting high street retailers with local shoppers.

The specific scope of any engagement — including deliverables, timelines, fees and any service-level commitments — will be set out in a written proposal, statement of work or order form agreed between us. Where there is any conflict between these terms and an agreed statement of work, the statement of work prevails for that engagement.

2. User responsibilities

You agree that you will not:

  • Misuse our Services, or use them for any unlawful or fraudulent purpose.
  • Reverse-engineer, decompile, disassemble or attempt to derive the source code of our Platforms, except to the extent permitted by law.
  • Infringe our intellectual property or the intellectual property of any third party.
  • Attempt to gain unauthorised access to any part of our Services, or interfere with their normal operation.
  • Use Qfinity in a way that breaches the rules of any exchange, broker or regulatory authority to which you are subject.
  • Use Dash to process loads, goods or personal data in breach of applicable customs, transport or data protection law.
  • Use WHAAM to send unsolicited marketing, or to misrepresent your business or its products.

You are also responsible for:

  • Account security — keeping your login credentials confidential and notifying us promptly of any suspected compromise.
  • Self-hosted installations — applying updates we provide, maintaining the security of the underlying infrastructure, and taking your own backups.
  • Accuracy of information — ensuring that any data you submit through our Services is accurate and that you have the right to submit it.

3. Intellectual property

All content, source code, documentation, templates, tools, branding and design assets relating to our Services are owned by Beztec (or our licensors) and are protected by copyright, database and other intellectual property laws.

Where you purchase a self-hosted licence to one of our Platforms, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use that Platform internally, for the scope and duration set out in your order form.

Where we deliver bespoke software to you under a statement of work, ownership of the bespoke deliverables transfers to you on full payment, except for any Beztec background IP, libraries, components or generic tooling incorporated into them — which remain ours and are licensed to you for use as part of the deliverables.

You may not reproduce, redistribute, sublicense, sell or commercially exploit any of our content, templates or tools without our prior written permission.

Your data remains yours. Nothing in these terms transfers ownership of any data you upload, import or generate through our Services. We process it only as described in our Privacy Policy.

4. Payments & refunds

Paid Services are billed either through Stripe (for card payments and SaaS subscriptions) or by invoice with bank transfer for enterprise engagements, as agreed in your order form or statement of work.

  • All fees are stated exclusive of VAT unless expressly marked otherwise. UK VAT will be added where applicable.
  • SaaS subscriptions renew automatically unless cancelled before the next renewal date.
  • Self-hosted licences are billed annually in advance unless otherwise agreed.
  • Consultancy fees are billed either upfront, on milestones, or monthly in arrears as set out in your statement of work.

Refunds. Refunds are available within 14 days of purchase for unused Services. Once a Service has been used, substantially delivered, or a licence key has been activated, refunds are at our discretion. Where you are a consumer, this does not affect any statutory rights you may have under the Consumer Contracts Regulations 2013.

Late payment of commercial invoices may incur interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Privacy

Your personal data is processed in accordance with our Privacy Policy. That policy explains what we collect, why we collect it, how long we keep it, and the rights you have over it.

Where we process personal data on your behalf as part of a Service (for example, contact records or load data held in a Dash instance), we do so as a data processor under your instructions, and a separate data processing agreement (DPA) may apply.

6. Availability & third-party services

We aim to keep our SaaS Platforms available at all times, but we do not guarantee uninterrupted availability unless a specific service-level agreement (SLA) has been agreed with you in writing. Planned maintenance will be communicated in advance where reasonably possible, and emergency maintenance may be carried out without notice.

Our Services integrate with third-party platforms — for example, MetaTrader 5 for Qfinity, Stripe for payments, and email delivery providers for transactional messages. We are not responsible for the availability, accuracy, security or acts and omissions of any third-party service, and any use of a third-party service is subject to that provider's own terms.

For self-hosted deployments, availability, backups, patching and infrastructure security are your responsibility. We provide the software and reasonable guidance, but we do not operate or monitor your installation.

7. Limitation of liability

To the fullest extent permitted by law:

  • Beztec is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, anticipated savings, business opportunity, goodwill or data.
  • Our total aggregate liability arising out of or in connection with the Services — whether in contract, tort (including negligence) or otherwise — is limited to the total fees you have paid to us for the affected Service in the 12 months immediately preceding the event giving rise to the claim.
  • We are not liable for losses arising from your failure to take reasonable steps to mitigate them, or from your use of a Service in a manner inconsistent with our documentation.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under the laws of England and Wales.

8. Termination

We reserve the right to suspend or terminate your access to the Services, with or without notice, if you materially breach these terms, if we are required to do so by law, or if continuing to provide the Service would put us or any third party at risk.

You may terminate your use of the Services at any time in accordance with the notice provisions of your order form or statement of work. SaaS subscriptions may be cancelled before the next renewal date to avoid the next billing cycle.

On termination:

  • For SaaS, we will make your data available for export for 30 days, after which it will be securely deleted in line with our Privacy Policy.
  • For self-hosted deployments, you retain control of your installation and data. Your licence to use the software ends, and you must cease use and remove the software from your infrastructure.
  • Any fees already paid for the terminated period are non-refundable, except where required by law or expressly agreed otherwise.

9. Governing law

These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of England and Wales. The courts of England and Wales, sitting in Leeds, have exclusive jurisdiction to settle any such dispute or claim.

Nothing in this section prevents either party from seeking interim relief (such as an injunction) from any court of competent jurisdiction, or from complying with any mandatory consumer protection rules applicable in your country of residence.

10. Changes to these terms

We may update these terms from time to time — for example, to reflect changes in our Services, our technology, or applicable law. The "Last updated" date at the top of this page will always reflect the most recent revision.

Continued use of our Services after changes take effect constitutes acceptance of the revised terms. Where a change is material and you hold an active subscription or licence, we will make reasonable efforts to notify you in advance by email.
